Service Agreement

The standard terms of engagement that apply to work we deliver, alongside the written scope issued for your project.

Last updated: 1 January 2026 · Ankle Shine LLC, 5040 E St Apt 7, Springfield, OR 97478

1. Structure of the engagement

Every engagement consists of this agreement plus a written scope document listing deliverables, timeline and fees. Where the two differ, the scope document prevails for that engagement.

2. Scope and change control

Work outside the agreed scope is treated as a change. We describe the change, its effect on timeline and its cost in writing, and it proceeds only once you approve it.

3. Delivery

We deliver remotely unless on-site work is specified. Timelines assume you provide requested information, access and decisions within the agreed response times; delays on your side move the schedule accordingly.

4. Client responsibilities

  • Nominate a single point of contact authorised to make decisions.
  • Provide accurate records and reasonable access to staff and systems.
  • Review deliverables and give feedback within agreed timeframes.

5. Fees and invoicing

Fees are as stated in the scope document. Retained services are invoiced monthly in advance, project work against milestones, and hourly work in arrears. Payment is due within 14 days of invoice unless stated otherwise. Reasonable pre-approved expenses are charged at cost.

6. Confidentiality and data

We treat your business information as confidential and handle personal data in accordance with our Privacy Policy and Data Protection page. On request at the end of an engagement, we return or delete client records we are not required to retain.

7. Ownership of deliverables

On full payment, you own the procedures, plans, registers and documentation created specifically for you. Our generic templates and methodology remain ours, and you receive a perpetual licence to use them internally as embedded in your deliverables.

8. Non-solicitation

Neither party will directly solicit the other's personnel during the engagement and for six months afterwards, without written consent.

9. Liability and warranties

We warrant that services will be performed with reasonable care and skill. We do not guarantee specific financial outcomes, since results depend on decisions and factors outside our control. Liability is limited as set out in our Terms & Conditions.

10. Termination

Either party may terminate on 30 days' written notice, or immediately for material breach that is not remedied within 14 days of notice. Fees for work completed remain payable.
